**Jio Financial Services and Jio Platforms are different companies.** Jio Financial is already listed; Jio Platforms is the one now coming to market through an IPO. This guide sets out the difference. It is part of the [Jio IPO DRHP and RHP breakdown](/articles/ipo/jio-ipo) and our [IPO guides](/ipo).

> **Educational content, not investment advice.** This page explains the issue using the company's own offer documents and exchange filings. tldr.money is not a SEBI-registered investment adviser or research analyst, and nothing here is a recommendation to apply for, buy, sell or hold any security. IPO investments can lose money, including on listing day. ## How they are connected

- **Shared brand.** RIL owns the "Jio" trademark. The RHP lists Jio Financial Services' use of "Jio Finance" as an example of how JPL's brand depends on companies it does not control (risk factor 7). See [Jio IPO risk factors](/articles/ipo/jio-ipo-risk-factors).
- **Distribution.** The RHP says the JioFinance app is available to Jio customers through the MyJio app.
- **Related-party transactions.** The RHP's related-party note lists JFSL and several of its subsidiaries, including Jio Payments Bank, as companies under common control that have transactions with the JPL group.
- **Common directors.** Isha Ambani is a non-executive director of both Jio Financial Services and Jio Platforms, according to the RHP.

## Common mix-ups

**"I own Jio Financial shares. Do I get the Jio IPO shareholder quota?"** No. The [shareholder quota](/articles/ipo/jio-ipo-ril-shareholder-quota) is for shareholders of **Reliance Industries Limited** as on 14 October 2026.

**"Jio Financial listed through a demerger, so will Jio Platforms shares come free to RIL shareholders?"** No. Jio Platforms is raising money through an IPO. RIL shareholders can bid in the reserved portion, but they pay the issue price like everyone else.

**"Is the Jio IPO the Jio Financial share price?"** No. Jio Financial's share price on the exchanges has nothing to do with the Jio Platforms issue price of INR 1,065 to INR 1,119.

**"Is Jio Payments Bank part of the IPO?"** No. It is a subsidiary of Jio Financial Services, not of Jio Platforms.

## Why the structures differ

A **demerger** splits an existing listed company. Shareholders get shares in the new company in proportion to their holding, and no new money is raised. An **IPO** is a public sale of shares, either new shares (fresh issue) or existing ones (offer for sale). Jio Platforms is a fresh issue only: all the money goes to the company, mainly to prepay RJIL's borrowings. See [how IPOs work in India](/articles/ipo/how-ipos-work-india).
