This guide explains the **Jio IPO HNI quota**, officially the non-institutional investor (NII) portion, including the "big NII" category some people call the UHNI quota. It is part of the [Jio IPO DRHP and RHP breakdown](/articles/ipo/jio-ipo) and our [IPO guides](/ipo).

> **Educational content, not investment advice.** This page explains the issue using the company's own offer documents and exchange filings. tldr.money is not a SEBI-registered investment adviser or research analyst, and nothing here is a recommendation to apply for, buy, sell or hold any security. IPO investments can lose money, including on listing day. Read the [red herring prospectus](https://www.sebi.gov.in/sebi_data/attachdocs/oct-2026/1792045029108.pdf) before you bid, and speak to a SEBI-registered adviser if you need personal advice.

## Who is an HNI in an IPO?

SEBI's rules do not use the term HNI. They define a **non-institutional investor (NII)** as anyone who is not a QIB, a retail investor or an eligible employee or shareholder bidding in a reserved portion, and who bids for **more than INR 2 lakh**. In the Jio RHP, that includes resident individuals, eligible NRIs, HUFs, companies, trusts, societies, family offices and some foreign portfolio investors.

The NII portion is split into two sub-categories:

| Sub-category | Common name | Bid size | Share of the NII portion |
|---|---|---|---|
| Small NII (sNII) | HNI, "small HNI" | More than INR 2 lakh, up to INR 10 lakh | One-third |
| Big NII (bNII) | "UHNI", "big HNI" | More than INR 10 lakh | Two-thirds |

"UHNI quota" is market slang, not a separate category. There is no third NII bucket in the RHP.

## Jio IPO NII quota size

The RHP says **not less than 15% of the net issue** goes to NIIs. The net issue is the full issue minus the INR 500 crore employee reservation and the INR 2,500 crore RIL shareholder reservation.

The exact share count is **not yet disclosed**; the RHP prints it as [●]. Using the net issue implied by BSE's QIB bid ceiling of 24,29,63,784 shares at the INR 1,119 cap, our indicative figures are:

| | Indicative shares | Indicative value at INR 1,119 |
|---|---|---|
| NII portion (15%) | about 3.64 crore | about INR 4,078 crore |
| Small NII (one-third) | about 1.21 crore | about INR 1,359 crore |
| Big NII (two-thirds) | about 2.43 crore | about INR 2,719 crore |

These are our calculations, not company figures. They will change slightly with the final price.

## Minimum and maximum application amounts

At the INR 1,119 cap and the 12-share lot:

| | Lots | Shares | Amount |
|---|---|---|---|
| Small NII minimum | 15 | 180 | INR 2,01,420 |
| Small NII maximum | 74 | 888 | INR 9,93,672 |
| Big NII minimum | 75 | 900 | INR 10,07,100 |
| Big NII maximum | Up to the NII portion | | Subject to investor limits |

NIIs cannot bid at the cut-off price. You must bid at a specific price within the band, and your bid amount must clear the threshold at that price. A small NII bid of 15 lots at INR 1,119 is above INR 2 lakh; the same 15 lots at INR 1,065 would be INR 1,91,700, which is retail-sized.

## How allotment works for small and big NII

The RHP applies SEBI's rule for NII allotment (Schedule XIII of the ICDR Regulations):

1. **Each successful NII gets at least the minimum NII application size**, subject to availability. The minimum NII application is the smallest bid above INR 2 lakh, which here is 15 lots (180 shares) at the cap.
2. **If there are not enough shares for every applicant to get that minimum, applicants are picked by a draw of lots**, as SEBI's rules provide. This applies in each sub-category separately.
3. **Any shares left after the minimum allotments** are allotted proportionately.

The surprising part: a big NII applicant who bids INR 10 lakh or INR 1 crore is, in an oversubscribed issue, typically competing in a lottery for the same minimum of about INR 2 lakh worth of shares. Bigger bids do not buy a bigger minimum. They only matter if the category is not heavily oversubscribed.

### How many minimum allotments fit (indicative)

| Sub-category | Indicative shares | Minimum allotment | Applicants who could get the minimum |
|---|---|---|---|
| Small NII | about 1.21 crore | 180 shares | about 67,490 |
| Big NII | about 2.43 crore | 180 shares | about 1,34,980 |

If more people apply than these numbers, the excess goes into a lottery. These are our calculations from the indicative share counts above.

## Paying for an NII bid

- **UPI works only up to INR 5 lakh.** Per the RHP, NIIs can use the UPI mechanism for bids up to INR 5 lakh. Above that, apply through ASBA in your bank's net banking or with a syndicate member.
- **You cannot withdraw or lower your bid.** QIBs and NIIs can only revise their bids upwards, and cannot cancel them, under the RHP's bidding rules. Retail investors can cancel.
- **The full amount is blocked** until allotment, so the cost of an NII bid includes the interest you forgo for a few days on money you may not use. Some investors borrow for NII bids through "IPO financing"; if you do, the interest is a certain cost against an uncertain allotment.

## Can I bid in both retail and NII?

Generally, no. The RHP lets the company reject multiple bids "except as otherwise permitted". Bid once, in the category your amount fits. The permitted exception is for RIL shareholders and eligible employees: a bid in the [RIL shareholder quota](/articles/ipo/jio-ipo-ril-shareholder-quota) or the employee portion, plus one bid in the retail or NII portion, is not treated as a multiple bid, subject to limits.
