After a strong [listing debut](/articles/ipo/jio-ipo-listing-gain), the next calendar most investors should know is **when locked shares become free to sell**. This page translates the RHP rules and the exchange lock-in annexure into a plain-English timeline. It is part of the [Jio IPO guide](/articles/ipo/jio-ipo).

**Last updated: 28 October 2026 (Asia/Calcutta).** Allotment date treated as **26 October 2026** (confirmed in the BSE lock-in annexure). Listing **28 October 2026** confirmed.

> **Educational content, not investment advice.** Lock-in schedules describe when shares *may* be sold under SEBI ICDR and the prospectus, not whether holders *will* sell, and not what the price will do. tldr.money is not a SEBI-registered investment adviser or research analyst. Nothing here is a recommendation to buy, sell or hold. Read the [RHP](https://www.sebi.gov.in/sebi_data/attachdocs/oct-2026/1792045029108.pdf) and speak to a SEBI-registered adviser if you need personal advice.

- **No OFS:** RIL / Meta / Google / funds did **not** sell in the IPO; they stay on the register under lock-in rules.
- **Tradable first:** mainly the **~19.75 crore** public-issue shares (plus a small unlocked ESOP slice).
- **Anchors:** half unlock **24 Nov 2026**, half **23 Jan 2027**.
- **Bigger blocks:** **26 Apr 2027**, **26 Oct 2027**, **26 Oct 2029** (BSE annexure share counts below).
- **Unlock ≠ dump:** permission to sell, not a promise of selling.

<div data-viz="stats" data-id="jio-lockin-overview">Post-issue 920.90 crore shares; public unlocked ~19.75 crore; first major anchor unlock 24 Nov 2026; large pre-IPO/promoter tranches 26 Apr 2027, 26 Oct 2027, 26 Oct 2029.</div>

## Why lock-in matters after a fresh issue

In an **offer for sale**, pre-IPO owners sell into the IPO and take cash. Jio was the opposite: a **100% fresh issue**, so the company raised money (mainly to prepay RJIL debt) and existing owners kept their shares, slightly diluted. Those shares still face SEBI lock-in so that a flood of old stock does not hit the market on day one.

For who owned what before and after the issue, see the ownership donuts on the [hub](/articles/ipo/jio-ipo) (RIL ~66.4% pre / ~64.5% post at our cap-price calculation; Meta and Google remain large minority holders).

## Lock-in timeline (BSE annexure)

The company filed lock-in details with distinctive-number ranges for presentation. All shares are demat; the annexure notes that exact distinctive numbers cannot be assigned in the usual physical sense. **Allotment reference date in the annexure: 26 October 2026.**

| Shares (annexure) | Under lock-in until | Plain-English role |
|---|---|---|
| 1,84,38,62,166 | **26 October 2029** | Longest block (3 years from allotment) -- typical minimum-promoter contribution window under ICDR |
| 4,09,39,79,479 | **26 October 2027** | One-year lock-in block |
| 2,99,78,49,185 | **26 April 2027** | Six-month lock-in block (common for many non-promoter pre-IPO holdings under ICDR) |
| 33,40,000 | Not under lock-in | Annexure note: ESOP-related; lock-in not applicable |
| 3,62,37,032 | **24 November 2026** | Anchor investors -- 30-day half |
| 3,62,37,034 | **23 January 2027** | Anchor investors -- 90-day half |
| 19,75,25,934 | Not under lock-in | IPO public allotment (ex-anchor book in the public issue) |

The annexure points to prospectus pages 107-109 for narrative lock-in detail. Post-issue total in the annexure: **9,20,90,30,830** shares (920.90 crore), matching the RHP share count used on our hub.

<div data-viz="bars" data-id="jio-lockin-share-blocks">Share blocks by unlock: public unlocked ~19.75 cr; anchor Nov ~3.62 cr; anchor Jan ~3.62 cr; Apr 2027 ~299.8 cr; Oct 2027 ~409.4 cr; Oct 2029 ~184.4 cr.</div>

## Anchor lock-in (confirmed dates)

Anchors took **7,24,74,066** shares at INR 1,119 on 19 October 2026 ([anchor page](/articles/ipo/jio-ipo-anchor-investors)). RHP rule: **50% locked 30 days** and **50% locked 90 days** from allotment.

| Tranche | Shares | Ends |
|---|---|---|
| First 50% | 3,62,37,032 | **24 November 2026** |
| Second 50% | 3,62,37,034 | **23 January 2027** |

These dates are no longer "indicative" guesses from the RHP timetable -- they are the dates printed on the BSE lock-in annexure after allotment on 26 October. Each tranche is about **0.39%** of the 920.90 crore post-issue shares (our calculation).

## Special quotas vs lock-in

| Category | Got shares in the IPO? | Locked after listing? |
|---|---|---|
| Retail / NII public book | Yes | Generally **no** (public allotment not under lock-in in the annexure) |
| RIL shareholder quota | Yes (separate reservation) | Same as other public allottees for those new shares |
| Employees (with discount) | Yes | Check allotment advice; small ESOP-related slice marked unlocked in annexure |
| Anchors | Yes (day before public book) | **Yes** -- 30 / 90 days as above |
| Promoter (RIL) and pre-IPO (Meta, Google, funds, others) | **No sale in IPO** | **Yes** -- multi-month / multi-year blocks in the annexure |

How the shareholder and retail quotas worked at application time: [shareholder + retail](/articles/ipo/apply-jio-ipo-shareholder-and-retail-quota) and [RIL shareholder quota](/articles/ipo/jio-ipo-ril-shareholder-quota).

## What this means for float and selling pressure

1. **Day-one float is a slice, not the whole company.** Headline market cap uses all 920.90 crore shares; shares that can actually trade on day one are a much smaller set.
2. **November and January are the first calendar tests.** When anchor halves unlock, watch volumes and delivery -- especially if the stock has run far above the INR 1,119 issue price (see [listing gain](/articles/ipo/jio-ipo-listing-gain)).
3. **April 2027 and October 2027 unlock far more shares** than the anchor book. Those dates matter more for medium-term supply than the first 30 days.
4. **Strategic holders often stay.** LIC, sovereign funds and operating partners (Meta, Google) have different mandates than a trading desk. Unlock is permission, not a sell order.
5. **RIL buyers are not the same as Jio float.** Owning RIL still embeds a majority economic interest in Jio plus retail, O2C, new energy and other bets -- covered in [Is Reliance Industries a good buy?](/articles/ipo/is-reliance-industries-a-good-buy).
