These are the **Jio IPO risk factors** that matter most for an ordinary investor, taken from the Red Herring Prospectus (RHP). It is part of the [Jio IPO DRHP and RHP breakdown](/articles/ipo/jio-ipo) and our [IPO guides](/ipo).

> **Educational content, not investment advice.** This page explains the issue using the company's own offer documents and exchange filings. tldr.money is not a SEBI-registered investment adviser or research analyst, and nothing here is a recommendation to apply for, buy, sell or hold any security. IPO investments can lose money, including on listing day. Read the [red herring prospectus](https://www.sebi.gov.in/sebi_data/attachdocs/oct-2026/1792045029108.pdf) before you bid, and speak to a SEBI-registered adviser if you need personal advice.

The RHP lists **65 risk factors** across about 40 pages. Every IPO document has a long list like this, and many items are generic. Below we group the ones that are specific to Jio Platforms (JPL), with the numbers the RHP gives. Risk factor numbers are in brackets.

## 1. Dependence on Reliance group companies

**Reliance Retail sells almost all prepaid recharges (3).** Reliance Retail Limited (RRL) is the sole distributor of Jio's prepaid services. It also handles customer acquisition, KYC and payment collection. Prepaid revenue was 77.08% of consolidated revenue in FY26 and 76.37% in Q1 FY27. Revenue received in advance through RRL was INR 1,12,935 crore in FY26. The RHP says alternatives exist, but switching would take time and money and might need several distributors.

**Related-party agreements (2, 32).** JPL has many agreements with Reliance Industries (RIL), its promoter, and other group companies, covering distribution, network infrastructure, brand use and services. After listing, new related-party deals need audit committee approval and in some cases shareholder approval.

**The "Jio" brand is shared (7).** JPL does not control how other Reliance companies use the Jio name. Problems at another "Jio" company could affect JPL's reputation.

**Group companies may compete (33).** Some Reliance group entities compete, or may compete, with JPL's businesses.

**RIL keeps control (40).** RIL holds 66.43% before the issue. If all 27 crore new shares are issued, that falls to about 64.5% (our calculation), so RIL continues to control board decisions, dividends and strategy.

## 2. One subsidiary does almost everything

**RJIL concentration (4).** Reliance Jio Infocomm Limited (RJIL), the telecom company, contributed 87.74% of FY26 revenue and 94.88% of EBITDA. Anything that hits RJIL's licence, network or customers hits JPL.

**Loss-making subsidiaries (34).** JPL has 33 subsidiaries. In FY26, 11 of them made losses totalling INR 100.6 crore. The RHP says these are not material relative to the group.

## 3. Licences, spectrum and regulation

**Licence and spectrum renewal (1).** RJIL's unified licence is due for renewal in **October 2033**. Most of its spectrum expires between **2041 and 2042**. Renewal or new spectrum could need large payments, and auctions may not happen on time.

**Highly regulated business (12).** TRAI and the Department of Telecommunications regulate tariffs, quality of service, spam control and more. TRAI issued 17 orders imposing financial disincentives of about **INR 27.1 crore** on RJIL for April 2020 to June 2024, mainly over unsolicited commercial messages and quality-of-service benchmarks. RJIL has appealed, and the telecom tribunal (TDSAT) has restrained TRAI from coercive action for now.

**Net neutrality and data-privacy rules (17, 18)** could limit how Jio prices or manages its services, or raise compliance costs.

## 4. Debt and capital spending

**Significant borrowings (11).** At 30 June 2026, fund-based borrowings outstanding across the group were INR 62,137.5 crore, mostly at RJIL, including external commercial borrowings and export credit agency loans. Breaching loan covenants could cause problems. The IPO's main object is to **prepay up to INR 27,500 crore** of RJIL's borrowings.

**Deferred spectrum payments are not in the headline leverage figure.** JPL's reported net leverage of 0.36x for FY26 excludes INR 1,04,514 crore of deferred payment liabilities and INR 13,888 crore of lease liabilities. These are real obligations even if they are not "borrowings".

**Capital-intensive business (14).** Cash capex was INR 53,510 crore in FY24, INR 44,268 crore in FY25 and INR 34,184 crore in FY26. New technology or spectrum could push it up again, and returns may not follow.

## 5. Technology, network and competition

**Network disruption (5)** from outages, natural disasters or power failures (23) could cut service.

**Technological change, including satellite broadband (6).** The RHP says more competitive satellite-based connectivity is one possible threat.

**Limited tower and fibre providers (8) and vendors (16).** A small group of passive infrastructure providers and equipment vendors, some of them related parties, supply much of the network.

**Competition (21).** India's telecom market is highly competitive. Tariff cuts by rivals could hit ARPU. See [Jio vs Airtel](/articles/ipo/jio-vs-airtel).

**Customer retention (13).** Growth depends on adding and keeping customers and increasing revenue per user.

**Cybersecurity and AI (9, 10).** A data breach could hurt operations and reputation. AI and machine-learning systems can make errors or show bias.

## 6. Legal, tax and accounting

**Outstanding legal proceedings (19).** The RHP lists cases involving JPL, its subsidiaries, RIL, directors and key managers.

**Contingent liabilities (35).** Claims not acknowledged as debts were INR 1,468.8 crore at 30 June 2026, 0.43% of net worth.

**GST disputes not counted as contingent liabilities.** A note to the litigation summary says GST demands aggregating **INR 6,795.5 crore**, mostly over input tax credit on telecom tower equipment, are pending before various courts. JPL has not recognised them as contingent liabilities, based on judicial precedents and its view of the merits.

## 7. Risks for you as a shareholder

**No dividend so far (43).** JPL has never declared or paid a dividend. Any return may come only from a rise in the share price.

**Use of proceeds may change (42).** Plans for the money raised may not happen as described.

**Price and volatility (55, 57, 61).** The shares have never traded. The price band was set by the company and lead managers and may not reflect what the market will pay. The share price could fall below the issue price after listing.

**You cannot withdraw a large bid (62).** NII and QIB bidders cannot lower or withdraw their bids once placed.

**Tax on gains (59).** Gains on sale are taxable. See [IPO listing gains tax](/articles/ipo/ipo-listing-gains-tax).

## How to use this list

Read the full risk factors section of the RHP before you bid; it starts on page 30. A long list does not mean an IPO is bad, and a short list would not make it safe. The useful question is which risks are specific to this business and how much they could cost. For Jio Platforms, the Reliance Retail distribution dependence, the deferred spectrum liabilities and the valuation relative to its returns stand out.
